ClearSetup provides professional setup, configuration, and tuning of AI agents on infrastructure owned by you. The specific scope, deliverables, and fees for any engagement are defined in a separate proposal or service agreement. These Terms govern your general use of our website and the relationship between us.

Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. If you use our services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Your responsibilities

• Provide accurate information and the access we reasonably need to deliver services.
• Use our website and services lawfully and not for any prohibited or harmful purpose.
• Maintain the security of your own systems, accounts, credentials, and data.
• Comply with the terms of any third-party services you choose to use with your AI agent.

Your AI agent and your data

Your data is yours. Your AI agent runs on a private server dedicated to you alone. After setup, you are responsible for the ongoing operation, content, and use of your environment, including any actions your AI agent takes on your behalf. You are responsible for reviewing outputs and decisions before relying on them.

Intellectual property

The ClearSetup name, logo, website, and original content are owned by us and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable license to access and use the website for its intended purpose. Open-source software configured as part of our services remains subject to its own licenses.

Payment

Fees, billing terms, and refund conditions for paid engagements are set out in your service agreement or order. Unless otherwise stated, fees are due as invoiced and are non-refundable once services have been performed.

Third-party services

Our services may rely on or integrate with third-party platforms and tools. We are not responsible for the availability, performance, or policies of third-party services, and your use of them is governed by their own terms.

AI outputs and approvals

AI systems can produce incomplete, inaccurate, or inappropriate outputs. You are responsible for reviewing outputs, decisions, communications, and actions before relying on them or sending them to others. ClearSetup does not provide legal, medical, financial, tax, or professional advice through the website or through configured AI systems.

SMS communications

If you opt in to receive text messages from us, those messages are governed by our SMS Terms. Consent to receive SMS messages is not required as a condition of purchase. You can reply STOP to opt out.

Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site or services will be uninterrupted, error-free, or that any specific outcome will be achieved.

Limitation of liability

To the fullest extent permitted by law, ClearSetup will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to these Terms or our services will not exceed the amount you paid us for the services giving rise to the claim in the twelve months before the claim.

Indemnification

You agree to indemnify and hold ClearSetup harmless from any claims, damages, liabilities, and expenses arising out of your use of the site or services, your data, or your violation of these Terms or applicable law.

Termination

We may suspend or terminate your access to our website or services if you violate these Terms or use them in a way that could cause harm or legal liability. Provisions that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any disputes will be resolved in the state or federal courts located in San Diego County, California.
